Directors’ Duties for UK Private Limited Companies

As officers of a company, directors are held to the strictest of regulations under the Companies Act 2006 (CA 2006) and the GC100 Guidance. Adherence to these regulations will ensure compliance, while breaches can result in heavy penalties.

It also outlines the statutory duties set out in the CA 2006, and how these create a framework that should be used to guide a director’s oversight of a company. Further, the course will look at what actions directors need to take to fulfil these duties, as well as the consequences for breaching them. Essential to this is a thorough understanding of the GC100 guidance and the Institute of Directors’ Code of Conduct. Please note, this course is focused on UK private companies limited by shares.
